1. General provisions
1.1 These Terms and Conditions of Purchase and Sale (hereinafter referred to as the "Terms") constitute a legally binding document governing the mutual rights, obligations, and responsibilities of the Buyer and the Seller when purchasing goods from the online store www.alaushu.com (hereinafter referred to as the "Online Store"). The Terms apply to individuals purchasing goods from the Online Store (hereinafter referred to as the "Buyer") and to UAB "Innovation Strategy," company code 306146417, which sells goods through the Online Store (hereinafter referred to as the "Seller").
1.2 By placing an order with the Seller, the Buyer must read and acknowledge these Terms, confirming their acceptance by providing the necessary information to conclude the purchase-sale agreement and fulfill the order.
1.3 The information provided in this Online Store is not intended to treat, diagnose, cure, or prevent any disease. The information available in this Online Store does not replace professional medical advice. The Seller assumes no responsibility for the improper use of products sold in the Online Store.
2. Conclusion of the Purchase-Sale Agreement
2.1 The purchase-sale agreement between the Buyer and the Seller is considered concluded from the moment the Buyer places an order in the Online Store, provides the necessary information to conclude the purchase-sale agreement, and makes payment for the order and its delivery.
2.2 The Buyer is fully responsible for the accuracy of the personal data provided. If the Buyer provides incorrect personal data in the order form, the Seller shall not be held liable for any resulting consequences.
2.3 The place of conclusion of the purchase-sale agreement is considered to be the Republic of Lithuania.
2.4 The Seller may restrict the sale of products or services to certain individuals, geographic regions, or jurisdictions if such restrictions are justified by legal, regulatory, or logistical limitations.
2.5 The Buyer's submitted order becomes an integral and binding part of the purchase-sale agreement from the moment the Seller sends an order confirmation to the Buyer’s provided email address. The assortment of goods, their quantity, price, and other conditions specified in the order are final and binding on both parties unless otherwise agreed in writing.
2.6 All purchase-sale agreements concluded with Buyers are stored in the Online Store.
3. Products
3.1 The Seller’s products are intended for personal use only and not for resale or commercial distribution.
3.2 All products listed by the Seller are subject to availability. The Seller does not guarantee that all products will be in stock and may suspend or discontinue the sale of any product at any time without prior notice.
3.3 If applicable, the expiration date of a product is indicated on its packaging.
3.4 The Seller makes every effort to accurately represent the colors and images of the products; however, it cannot guarantee that the colors displayed on the Buyer's device screen will exactly match the actual product colors. Product images are for illustrative purposes only, and the actual product may vary due to different production batches or packaging updates.
3.5 The Seller ensures that product descriptions are accurate and reflect the actual characteristics of the goods. However, it does not guarantee that all descriptions, images, or other provided information are entirely error-free.
3.6 The Seller reserves the right to change product descriptions or any other product-related information at any time without prior notice.
4. Product prices
4.1 All product prices in the Online Store are displayed in euros (EUR) and, if applicable, include value-added tax (VAT). Any VAT increases will be automatically passed on to the Buyer by adjusting the price accordingly.
4.2 The listed prices include all applicable taxes but do not include delivery costs, which are calculated and added before payment is made.
4.3 Payment for the order must be made in advance, and the amount is charged immediately after the order is placed. The Buyer can choose one of the payment methods available in the Online Store, processed through Paysera or Stripe.
4.4 The Seller reserves the right to change prices at any time without prior notice and assumes no liability to the Buyer or any third party for any price changes.
5. Order processing
5.1 The Seller processes orders within 1–2 business days after full payment, including delivery costs, has been confirmed. Once the order is placed, the Seller will send a confirmation email containing the Buyer’s purchase details. This email confirms that the Seller has received the order and notifies the Buyer that the order is being prepared for shipment.
5.2 The Seller reserves the right to refuse or cancel an order due to pricing errors, product unavailability, payment verification issues, or suspicion that the order is intended for resale or distribution. If an order is canceled, the Buyer will be notified via the contact information provided during the purchase agreement process, and any paid amount, if applicable, will be refunded.
6. Delivery terms
6.1 The Seller ships orders within 1–2 business days after order confirmation and payment receipt.
6.2 The Seller offers home delivery by courier and parcel locker delivery through the following shipping services: DPD Lietuva, Omniva Lietuva, LP Express, Itella SmartPost, Unisend, FedEx, Novapost, InPost.
6.3 The Buyer is responsible for providing the correct delivery address.
6.4 In Lithuania, order delivery takes between 2 to 5 business days from the date of payment confirmation. Delivery to other European Union countries or the United Kingdom takes between 2 to 7 business days. For international orders, delivery times may vary depending on the location and usually take up to 10 business days. During promotions and holiday periods, order delivery may take up to 10 business days.
6.5 The Seller is not liable for delays in delivery due to external factors such as force majeure (natural disasters, political conflicts, government actions, pandemics, epidemics, strikes), customs procedures, disruptions in courier services, or any other circumstances beyond the Seller’s control, including those dependent on the Buyer.
6.6 The Seller is not responsible for any customs duties or import taxes that may apply once the shipment reaches the Buyer's country.
6.7 The Seller reserves the right not to deliver products to certain countries or regions if delivery is unfeasible due to logistical constraints or disproportionately high shipping costs.
6.8 If the Buyer fails to collect the order from a parcel locker or the delivery cannot be completed, the products will be returned to the Seller. In such cases, the Seller will cancel the order, deduct any applicable bank fees related to payment processing and the shipping cost (if applied), and refund the remaining amount paid for the products to the Buyer.
7. Right of Withdrawal and Return of Goods
7.1 A Buyer who is a consumer has the right to withdraw from a distance sales contract concluded through the online store within 14 (fourteen) calendar days without giving any reason. The withdrawal period expires 14 (fourteen) calendar days from the day on which the Buyer, or a third party indicated by the Buyer (other than the carrier), acquires physical possession of the goods.
7.2 To exercise the right of withdrawal, the Buyer must inform the Seller by sending a clear statement to hello@alaushu.com and provide information that allows the order to be identified (full name, order number, order date, and the product being returned). The Buyer may submit a statement in any form or request that the Seller send the "Withdrawal Form" by email to hello@alaushu.com. The Buyer may then complete and return the form to the Seller.
7.3 The withdrawal period shall be deemed to have been observed if the Buyer sends the notice of withdrawal before the expiry of the 14 (fourteen) calendar day period.
7.4 After withdrawing from the contract, the Buyer must send back or hand over the goods to the Seller without undue delay and, in any event, no later than 14 (fourteen) calendar days from the date on which the Buyer notified the Seller of the withdrawal. The Buyer shall bear the direct cost of returning the goods unless the Seller agrees to bear such costs or the goods are defective, damaged, or incorrectly supplied.
7.5 The Seller shall reimburse all payments received from the Buyer, including the costs of standard delivery, no later than 14 (fourteen) calendar days from the date on which the Seller receives the Buyer's notice of withdrawal. The Seller may withhold the reimbursement until the returned goods have been received. Upon receipt and inspection of the returned goods, the Seller shall refund the amounts due to the Buyer within 5 (five) business days. The Seller undertakes to respond to the Buyer's return request within 7 (seven) business days.
7.6 The Buyer shall be liable for any diminished value of the goods resulting from handling other than what is necessary to establish the nature, characteristics, and functioning of the goods. If the returned goods have been used beyond what is necessary for this purpose, the Seller shall have the right to reduce the refund in proportion to the diminished value of the goods.
7.7 The returned goods must be undamaged, retain their consumer qualities and, where reasonably possible, be returned in their original packaging. This requirement shall not apply to the extent necessary for the Buyer to inspect and assess the nature, characteristics, and functioning of the goods.
7.8 For reasons of health protection and hygiene, goods that have been unsealed after delivery and are no longer suitable for return due to health protection or hygiene reasons cannot be returned. This includes, but is not limited to, body brushes, massagers, cosmetic products, food supplements, personal hygiene products, and other goods intended for individual use.
7.9 The right of withdrawal shall also not apply to other goods and services for which the consumer's right to withdraw from a distance contract is excluded under the applicable laws of the Republic of Lithuania.
7.10 If the Buyer receives defective, damaged, or incorrect goods, the Seller shall, at its own expense, arrange for the return of the goods or reimburse the reasonable return costs and, at the Buyer's choice, either replace the goods or refund the amount paid.
8. Customer reviews
8.1 The Seller reserves the right to use third-party platforms such as Judge.me or Trustpilot to collect and display customer reviews about the Online Store and its products.
8.2 By submitting a review, the Buyer grants the Seller the right to publicly display, reproduce, and use the review for promoting the Online Store and the products available within it.
8.3 The Seller reserves the right to remove reviews deemed inappropriate, false, or misleading. All reviews must be based on the Buyer's personal experience with the Online Store’s products.
9. Newsletter
9.1 The Seller reserves the right to use third-party platforms, such as Omnisend, for managing and sending newsletters.
9.2 By subscribing to the newsletter, the Buyer agrees to receive promotional emails, news, and information about the Seller’s products and services.
9.3 The Buyer can unsubscribe at any time by clicking the "unsubscribe" link in the received newsletter email.
9.4 The Seller is committed to protecting the Buyer's privacy and will not share their email address or personal information with third parties, except when necessary to provide the newsletter service. More details can be found in the Privacy Policy.
10. Liability
10.1 The Seller is not responsible for any disruptions in the operation of the Online Store caused by failures in third-party systems, communication networks, servers, or interruptions in third-party services used by the Online Store.
10.2 By using the Online Store and submitting personal information, the Buyer acknowledges and agrees that data transmission over the internet is not entirely secure. The Seller cannot be held responsible for cyberattacks or other security breaches that may result in the loss or theft of the Buyer’s personal information. The Buyer uses the Online Store at their own risk. The Seller disclaims any liability for security breaches or vulnerabilities beyond its control.
10.3 The Seller is not responsible for the content of external third-party websites linked from the Online Store, as these sites are beyond its control. Such links are provided for the convenience of users and should not be considered as endorsements or approvals of their content. Buyers should carefully review the policies and practices of third-party websites before engaging in transactions. Complaints, claims, concerns, or questions regarding third-party products should be directed to the respective third party.
10.4 In the event of damage, the Seller and the Buyer shall compensate each other only for direct losses caused by their own wrongful actions (e.g., the Seller will compensate the Buyer for direct losses caused by the Seller’s fault). The Seller's liability for damages is limited to the price of the products ordered by the Buyer.
10.5 The Seller reserves the right to terminate the operation of the website at any time.
11. Prohibited activities
11.1 In addition to other prohibitions set forth in these Terms, it is forbidden to use the website or its content for the following purposes:
11.1.1 For any illegal purpose;
11.1.2 To encourage others to engage in or participate in any illegal activities;
11.1.3 To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances;
11.1.4 To infringe upon the Seller's or any related party’s intellectual property rights, or the intellectual property rights of others;
11.1.5 To harass, insult, harm, defame, slander, belittle, threaten, or discriminate against others based on gender, sexual orientation, religion, nationality, race, age, ethnicity, or disability;
11.1.6 To provide false or misleading information;
11.1.7 To upload or transmit viruses or any other malicious code that could affect the functionality of the website, any related services, other websites, or the internet;
11.1.8 To collect or track personal information of others;
11.1.9 To engage in unsolicited advertising (spam), fraud, phishing, identity deception (pretexting), or any other malicious activity; to use the site for obscene or immoral purposes; to violate or bypass the security features of the website or any related service.
11.2 The Seller commits to ensuring all reasonable conditions for the Buyer to properly use the Online Store’s services. If the Buyer attempts to compromise the stability or security of the Online Store or violates their obligations, the Seller has the right to immediately and without prior notice restrict or suspend the Buyer’s access to the Online Store or, in exceptional cases, terminate the Buyer’s registration.
12. Personal data protection
12.1 The Seller is committed to managing and processing Buyers' personal data in strict compliance with the Law on Legal Protection of Personal Data of the Republic of Lithuania, the General Data Protection Regulation (GDPR) of the European Union, and other applicable legal requirements.
12.2 By placing an order with the Seller, the Buyer consents to the processing of their personal data.
12.3 When ordering products and providing personal data to the Seller, the Buyer agrees to the provisions of the Seller’s Privacy Policy, except for data processing activities that require separate consent from the Buyer. More detailed information can be found in the Online Store’s Privacy Policy.
13. Intellectual property
13.1 The names of products or legal entities mentioned in the Online Store may be trademarks, and intellectual property rights to them are protected in accordance with applicable laws.
13.2 The content of the Online Store is the property of the Seller or product suppliers and is protected by law. Copying or using any information or parts of the Online Store without the Seller’s written consent is strictly prohibited.
14. Dispute resolution
14.1 Any disputes arising between the Buyer and the Seller shall be resolved through negotiations. If an agreement cannot be reached, disputes shall be settled in accordance with the laws of the Republic of Lithuania. The Buyer has the right to address any disputes or claims to the Seller via email at hello@alaushu.com.
14.2 If the dispute cannot be resolved through negotiations, the Buyer has the right to submit a complaint to the State Consumer Rights Protection Authority of the Republic of Lithuania (Vilniaus g. 25, LT-01402 Vilnius, Lithuania; email: tarnyba@vvtat.lt; telephone: +370 5 262 6751; website: www.vvtat.lt) or another competent consumer dispute resolution body in accordance with the applicable laws of the Republic of Lithuania.
15. Final provisions
15.1 The Seller reserves the right to edit, modify, supplement, or otherwise amend the purchase-sale rules and any related or derivative documents and/or policies at its sole discretion at any time. The latest version of the Terms becomes effective from the date of its publication in the Online Store. The relationship between the Buyer and the Seller shall be governed by the Terms that were in effect at the time the order was placed. Any transactions and interpretations of these Terms related to purchases in the Online Store shall be governed by the laws of the Republic of Lithuania.
15.2 If any part of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain fully valid and enforceable.
